Terms of Service
ARUKZ DIGITAL™ | Effective Date: January 1, 2025
1. Agreement
By engaging ARUKZ DIGITAL's services, you ("Client") agree to these Terms of Service. These terms govern all digital marketing services provided by ARUKZ DIGITAL ("Agency", "we", "us").
2. Services
2.1 Scope of Services
- Services are defined in the signed Service Agreement, Proposal, or Statement of Work (SOW).
- Any changes to scope must be agreed in writing and may affect pricing and timeline.
- ARUKZ DIGITAL reserves the right to decline projects that conflict with our values.
2.2 Service Standards
- All services are delivered according to the 4D Framework (Discover, Design, Deploy, Deliver)
- Deliverables are subject to our internal QA process before client delivery
- We aim to meet all committed timelines; delays will be communicated proactively
3. Payment Terms

4. Intellectual Property
4.1 Client IP
All data, brand assets, and materials provided by the client remain the client's property.
4.2 Deliverable IP
Upon full payment, all deliverables (content, designs, campaigns) created for the client become client property.
4.3 Agency IP
Our methodologies, frameworks, processes, and tools remain ARUKZ DIGITAL's property.
4.4 Portfolio Rights
ARUKZ DIGITAL may reference client engagement for portfolio/case study purposes, unless a separate NDA is in effect.
5. Confidentiality
Both parties agree to keep confidential information (business data, strategies, financials, account credentials) strictly confidential and not share with third parties without written consent.
6. Termination

Upon termination, the client receives all completed deliverables and outstanding reports within 14 days.
7. Limitation of Liability
- ARUKZ DIGITAL's liability is limited to the total fees paid in the 3 months preceding the claim
- We do not guarantee specific search rankings, social media metrics, or ad performance — these are influenced by external factors including platform algorithms
- We are not liable for indirect, consequential, or punitive damages
8. Warranties & Representations
The client represents that:
- They have authority to provide all shared materials and data
- They have legal rights to all brand assets shared
- Their business activities comply with applicable Indian laws
ARUKZ DIGITAL represents that:
- Services will be performed professionally
- We will comply with applicable advertising platform policies
9. Governing Law
These Terms are governed by the laws of India. Any disputes will be subject to the jurisdiction of courts in Tamil Nadu, India.
